1. Agreement

By purchasing, downloading, installing, or using any iotec product (the "Software"), you agree to these Terms of Service ("Terms") and our Risk Disclaimer. If you do not agree, do not use the Software.

2. License grant

Subject to payment and compliance with these Terms, iotec grants you a non-exclusive, non-transferable, revocable license to install and use the Software on a single device for your personal trading use.

This is a license, not a sale. iotec retains all intellectual property rights in the Software.

3. Restrictions

You agree NOT to:

Copy, distribute, sell, rent, lease, sublicense, or transfer the Software to any third party.
Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software.
Modify, adapt, or create derivative works based on the Software.
Remove, alter, or obscure license notices, copyright notices, or technical protections.
Use the Software on more than one device with a single license, unless authorized via a device reset.
Share your license key with others. Each license is for one user, one device.
Use the Software for any unlawful purpose.

4. Device binding & resets

Each license binds to one device on first activation. You may request a device reset (e.g., for new computer, OS reinstall, hardware change) up to once every 6 months at no cost. Additional resets are evaluated case-by-case and may carry a fee.

Suspected abuse of resets may result in license termination.

5. Updates

iotec may release updates, patches, or new versions. While we generally provide updates at no additional cost during the lifetime of your license, we make no commitment to release any specific update.

6. Termination

iotec may terminate your license for material breach of these Terms, including but not limited to: sharing your key, attempting to bypass license protections, distributing the Software, or abusive support requests.

Upon termination, you must uninstall the Software. No refund is provided for licenses terminated due to breach.

7. Disclaimers

The Software is provided "as is" without warranty of any kind. See our Risk Disclaimer for the complete statement on trading risk, performance, and limitations.

8. Limitation of liability

To the maximum extent permitted by law, iotec's total liability shall not exceed the amount you paid for the Software in the twelve months preceding the claim. iotec shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or trading losses.

9. Governing law

These Terms are governed by the laws of México, without regard to conflict-of-law principles. Any dispute shall be resolved in the courts of México.

10. Changes

We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be communicated by email when possible.
